GlintSell Non-Disclosure Agreement (NDA)

1. Definition of Confidential Information

Confidential Information includes all pre-launch details about GlintSell, such as its software features (e.g., drag-and-drop builder, AI tools, payment integrations), design mockups, business strategies, and any data shared via the waitlist or beta access, but excludes information already public or independently developed.

2. Obligations of Receiving Party

You agree to:

• Keep all Confidential Information strictly confidential and not disclose it to third parties without written consent from GlintSell.
• Use it solely for the purpose of participating in the waitlist or beta program.
• Not reverse-engineer, copy, or replicate the platform or its features.

3. Duration

This Agreement remains in effect for 2 years from the effective date or until GlintSell's public launch (whichever is earlier), after which confidentiality obligations continue for trade secrets.

4. Exclusions

You are not bound if the information becomes public through no fault of yours or is required by law to be disclosed (with prior notice to GlintSell).

5. Remedies

Breach entitles GlintSell to seek injunctive relief and damages under Nigerian law, including the Copyright Act 2004.

6. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria, with disputes resolved in Lagos courts.
